Corporate Governance Officer
The Company, by resolution of the Board of Directors on February 23, 2023 (Year 112 of the Republic of China), appointed Manager Wei-Hsien Lin as the Company’s Corporate Governance Officer to protect shareholders’ rights and interests and strengthen the functions of the Board of Directors. Manager Wei-Hsien Lin has more than three years of experience in publicly issued companies engaged in financial and other management work.
The following matters are jointly handled by the Corporate Governance Officer and the secretarial unit:
1.Handling matters related to Board of Directors and shareholders’ meetings in accordance with the law.
2.Preparing minutes of Board of Directors and shareholders’ meetings.
3.Assisting directors with onboarding and continuous professional development.
4.Providing directors and audit committee members with materials required to perform their duties.
5.Assisting directors and audit committee members in complying with laws and regulations.
6.Reporting to the Board of Directors the results of reviews on whether independent directors meet relevant legal and regulatory qualifications during nomination, election, and tenure.
7.Handling matters related to changes in directors.
8.Other matters stipulated in the Company’s Articles of Incorporation or contracts.
- In 2024 (Year 113 of the Republic of China), 6 Board of Directors meetings and 5 Audit Committee meetings were convened, and meeting materials were provided to all directors.
- Responsible for releasing material information announcements regarding major resolutions on the same day after Board of Directors and shareholders’ meetings.
- The 2024 Annual General Shareholders’ Meeting was successfully held on May 29, 2024.
- Evaluated and purchased appropriate coverage of Directors and Officers Liability Insurance, completed the insurance policy on December 23, 2024, and reported the coverage details to the Board of Directors.
- Irregularly provided directors with information on continuing education courses, reminded them to complete the required training hours in accordance with the “Key Points for the Implementation of Continuing Education for Directors and Supervisors of Taiwan Listed Companies,” and completed relevant declaration procedures. In 2024, all directors completed 6 hours of training courses and the declarations were duly filed.
